Shaker's Kit Boilerplate License Agreement

    TL;DR:

    • Personal License: Build unlimited projects as an individual.
    • Team License: Build unlimited projects as a team.

    This License Agreement ("Agreement") is entered into between Shaker's Kit ("Licensor"), represented by Kostiantyn Popovych, whose contact information is shakers-support@etalonyx.com, and you ("Licensee"), regarding the use of the Shaker's Kit coding boilerplate (the "Product") available at https://shakersk.it/ (the "Website"). By downloading, accessing, or using the Product, Licensee agrees to be bound by the terms and conditions of this Agreement.

    1. Grant of License

    1.1 Personal License

    Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable Personal License to use the Shaker's Kit coding boilerplate for the following purposes:

    • Create unlimited projects.
    • Build and develop applications or websites for personal or commercial use.

    1.2 Team License

    Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable Team License to use the Shaker's Kit coding boilerplate for the following purposes:

    • Create unlimited projects.
    • Build and develop applications or websites as part of a team.
    • Share the code with other members of the team within the licensed organization.

    2. Restrictions

    Licensee agrees to the following restrictions:

    • No Public Distributio: Licensee shall not publish, upload, or share the Product or its source code in any public repository, website, or other public platform.
    • No Resale: Licensee shall not resell, redistribute, or sublicense the Product as a standalone offering.
    • Proprietary Notices: Licensee shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices included in the Product.
    • Compliance with Laws: Licensee shall not use the Product in any manner that violates applicable laws, regulations, or third-party rights.
    • No Transfer: Licensee shall not transfer, rent, lease, or lend the Product to any third party.

    3. Ownership and Intellectual Property

    The Licensor retains all ownership and intellectual property rights in and to the Product. This Agreement grants no ownership rights to the Licensee. All modifications or derivative works based on the Product remain the property of the Licensor unless explicitly agreed otherwise in writing.

    4. Warranty and Disclaimer

    The Product is provided "as is" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not guarantee that the Product will be error-free or uninterrupted.

    5. Limitation of Liability

    To the maximum extent permitted by applicable U.S. law:

    • The Licensor shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Product.
    • If the Licensor is found liable for any reason, the total liability shall not exceed the amount paid by the Licensee for the Product.

    6. Governing Law and Jurisdiction

    This Agreement shall be governed by and construed in accordance with the laws of the United States and the state in which the Licensor operates, excluding conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved in the state or federal courts located in the jurisdiction of the Licensor's primary business address.

    7. Entire Agreement

    This Agreement constitutes the entire understanding between the Licensor and the Licensee regarding the Product and supersedes any prior agreements, representations, or understandings, whether written or oral.
